STANDARD PARTNERSHIP TERMS & CONDITIONS

Version 1.0 | Effective October 2026

These Standard Partnership Terms & Conditions ("Terms") apply to commercial collaborations between The QC Women's Sports Club Ltd, trading as The Queen's Court ("The QC"), and its commercial partners ("Partner").

The QC and the Partner are collectively referred to as the "Parties".

1. PARTNERSHIP AGREEMENT
1.1. Each partnership will be defined in a written proposal or agreement specifying the experience, content, financial investment and respective responsibilities ("Partnership Agreement").
1.2. These Terms form part of the Partnership Agreement when expressly incorporated and accepted in writing by both Parties.
1.3. Where any provisions conflict, the specific Partnership Agreement takes precedence.
1.4. Any changes to the agreed scope, budget or responsibilities must be mutually agreed in writing.

2. PARTNERSHIP INVESTMENT & PAYMENT
2.1. Partnership fees and payment schedules will be specified in the Partnership Agreement. All fees are exclusive of VAT unless otherwise stated.
2.2. Invoices will be issued in accordance with the agreed payment schedule and must be paid by their stated due dates.
2.3. Where an undisputed payment is overdue, The QC reserves the right to suspend production following written notice and a reasonable opportunity to resolve the outstanding amount.
2.4. Additional activities, production requirements or costs outside the agreed scope require prior written agreement.

3. CANCELLATION & POSTPONEMENT
3.1. Either Party must notify the other in writing as soon as cancellation or postponement becomes necessary.
3.2. Where the Partner cancels, The QC is entitled to payment for work completed and reimbursement of reasonable, documented and unavoidable costs or non-refundable commitments incurred in connection with the partnership, up to the total agreed partnership fee.
3.3. Any payments already received will be credited against these amounts. Any remaining balance will be refunded.
3.4. Where The QC cancels for reasons within its reasonable control, payments relating to activities not delivered will be refunded, without limiting any rights or remedies that cannot lawfully be excluded.
3.5. Postponements, revised dates and associated costs will be discussed in good faith and confirmed in writing.

4. CREATIVE OWNERSHIP & INTELLECTUAL PROPERTY
4.1. The QC retains ownership of its original creative concepts, experience formats, brand identity, designs, creative direction and other pre-existing or independently developed intellectual property.
4.2. Unless otherwise agreed in writing, photography, film and other content produced under The QC's creative direction remain the intellectual property of The QC or its relevant rights holders.
4.3. Partners receive a non-exclusive, non-transferable licence to share final approved-for-release content supplied by The QC for their own organic digital and social communications in connection with the partnership.
4.4. The QC must be credited or tagged in all Partner publications featuring The QC-created content, with Instagram collaboration invitations used where specified in the Partnership Agreement.
4.5. Paid advertising, resale, third-party licensing, substantial editing or reuse outside the agreed partnership require prior written permission from The QC.
4.6. Each Party retains ownership of its own trademarks, logos and brand assets. Use of these assets must remain within the agreed partnership.

5. CONTENT & EDITORIAL INDEPENDENCE
5.1. The QC retains creative and editorial control over the photography, films and content it produces and publishes.
5.2. The Partner does not have automatic editorial approval rights over The QC content unless expressly agreed in writing.
5.3. Both Parties will respect relevant intellectual property rights, applicable laws and agreed restrictions concerning the use of their respective brands.
5.4. Any agreed social media commitments, collaborative posts and content-sharing arrangements will be outlined in the Partnership Agreement.

6. SHARED RESPONSIBILITIES
6.1. Each Party is responsible for fulfilling its contributions as outlined in the Partnership Agreement.
6.2. Each Party is responsible for the suitability, lawful use and necessary permissions relating to the products, materials, talent and personnel it provides.
6.3. The Parties will communicate promptly about circumstances that may affect the partnership and work together in good faith to resolve any issues.
6.4. Neither Party may make additional financial or contractual commitments on behalf of the other without prior written authorisation.

7. EVENTS, INSURANCE & LIABILITY
7.1. Each Party must comply with applicable laws, health and safety requirements and venue regulations relevant to its activities.
7.2. Each Party is responsible for the actions and omissions of its own personnel, contractors and representatives.
7.3. Each Party will maintain appropriate insurance for its activities and responsibilities, including relevant public liability cover.
7.4. Neither Party excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited.
7.5. Subject to clause 7.4 and applicable law, neither Party will be liable for indirect or consequential losses arising from the partnership.
7.6. Except where otherwise agreed in writing, each Party's total liability arising under the Partnership Agreement will be limited to the total partnership fee, subject to applicable legal restrictions on the enforceability of liability limitations.

8. GUEST DATA & PRIVACY
8.1. Both Parties will comply with applicable UK data protection legislation, including UK GDPR.
8.2. Each Party is responsible for ensuring that personal data it collects or processes is handled lawfully.
8.3. Where guest registration information is shared, the Parties will agree their respective data protection responsibilities and provide appropriate privacy information.
8.4. Event photography and filming will be supported by appropriate notices and, where legally required, permissions or consents.

9. CONFIDENTIALITY
9.1. Both Parties agree to protect confidential commercial, financial, strategic and creative information shared during the partnership.
9.2. Such information must not be disclosed or used outside the partnership without authorisation, except where necessary for performance of the agreement or required by law.
9.3. These obligations continue following completion or termination of the partnership.

10. CIRCUMSTANCES BEYOND REASONABLE CONTROL
10.1. Neither Party will be responsible for delays or failures caused by circumstances beyond its reasonable control, provided it gives prompt notice and takes reasonable steps to minimise disruption.
10.2. Where such circumstances prevent the partnership from proceeding, the Parties will discuss alternative arrangements, postponement or an appropriate reconciliation of completed work and unavoidable costs.

11. GENERAL TERMS
11.1. The Parties remain independent businesses. Nothing in these Terms creates a legal partnership, joint venture, employment or agency relationship.
11.2. If any provision is deemed unenforceable, the remaining provisions will continue to apply.
11.3. These Terms and the relevant Partnership Agreement are governed by the laws of England and Wales, with disputes subject to the jurisdiction of the courts of England and Wales.
